Website Terms of Use
Governs your access to and use of the brixio.io website. Distinct from the commercial terms (CGV) that govern paying clients.
Terms governing your access to and use of the website www.brixio.io (the “Site”), operated by the Brixio group.
1. Acceptance of these Terms
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Website Terms of Use (the “Terms”), together with the Brixio Legal Notice, Privacy Policy, and Cookie Policy, which are incorporated by reference. If you do not agree to these Terms, you must not access or use the Site.
These Terms govern only your use of the Site itself. They do not govern any contractual relationship for the supply of professional services by Brixio, which is governed exclusively by Brixio's general terms and conditions of sale (CGV/CPV) and any signed quote, statement of work, or master services agreement entered into between Brixio and the client.
2. Information about Services and Prices
The Site presents an overview of Brixio's professional services and, in some cases, indicative information about pricing, packages, or commercial conditions. This information is provided for general informational purposes only, is not exhaustive, and is intended to give you a high-level understanding of Brixio's offerings.
The information presented on the Site:
- does not constitute a contractual offer within the meaning of Article 1114 of the French Civil Code or any equivalent provision of applicable law;
- is not a substitute for the detailed terms and conditions of any contract, statement of work, or quote agreed between Brixio and a client;
- may be modified, completed, or withdrawn at any time without notice;
- may not reflect all features, limitations, dependencies, prerequisites, or conditions applicable to a given service.
In particular, any prices, price ranges, packages, or service tiers shown on the Site are indicative only and subject to change without notice.
Brixio is contractually engaged only upon execution by both parties of a written quote (devis), statement of work, or other written agreement, in each case referring to Brixio's general terms and conditions of sale (CGV/CPV). Until such execution, no information on the Site, no commercial exchange, and no pre-contractual communication shall be construed as creating a binding obligation on Brixio.
3. Engagement of Brixio: Onboarding, KYC, and Sanctions Compliance
3.1 Customer onboarding and KYC
Before entering into any commercial relationship, Brixio applies its customer onboarding procedures, which may include know-your-customer (KYC), anti-money-laundering (AML), beneficial ownership, and sanctions screening checks. Brixio reserves the right, in its sole discretion, to decline to engage with any prospective client, without obligation to provide reasons.
3.2 Sanctions and export controls
Brixio complies with applicable economic sanctions, trade restrictions, and export control laws, including those administered by:
- the United States (notably the Office of Foreign Assets Control - OFAC - and the U.S. Department of Commerce export controls);
- the European Union;
- the United Nations Security Council;
- the United Arab Emirates;
- the United Kingdom (HM Treasury, Office of Financial Sanctions Implementation);
- and any other applicable national or regional regime.
Brixio does not contract with, or provide services to, persons, entities, or end users located in, ordinarily resident in, or organised under the laws of countries or territories subject to comprehensive sanctions or embargoes (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), nor with any individual or entity listed on applicable sanctions or denied-party lists.
In addition, certain technologies on which Brixio's services are based - including, in particular, those of Cloudflare, Inc. - are themselves subject to U.S. export control regulations. Clients are required to comply with all such regulations at all times and undertake not to use Brixio's services in any manner that would cause Brixio or its technology partners to be in breach of applicable sanctions or export control laws.
4. Use of the Site
4.1 Permitted use
You may access and view the Site for your own information and for legitimate business purposes related to evaluating, requesting, or receiving Brixio's services. You may print or download individual pages for your own internal reference, provided you do not modify them and you preserve all copyright and other proprietary notices.
4.2 Prohibited use
You shall not, and shall not attempt to:
- use the Site in any way that violates any applicable law, regulation, or third-party right;
- damage, disable, overburden, disrupt, or impair the Site, its underlying infrastructure, or any network connected to it;
- transmit any virus, worm, malware, or other harmful code through the Site;
- attempt to gain unauthorised access to any part of the Site, any account, computer system, or network connected to the Site, including through hacking, password mining, or any other means;
- scrape, harvest, copy, frame, mirror, or otherwise systematically extract content from the Site without Brixio's prior written consent;
- circumvent, disable, or otherwise interfere with security-related features of the Site, or any limitations on the use of the Site or its content.
4.3 Restriction on AI training and automated access
You may not use automated bots, scrapers, or similar tools to access, scan, copy, or extract any of the materials or content on the Site for the purpose of developing, training, fine-tuning, or otherwise contributing to or improving a machine learning model or artificial intelligence (AI) system, unless your bot's user agent is (i) explicitly permitted (“allowed”) to do so in the Site's robots.txt file and (ii) used solely to identify bots used for AI purposes (this provision does not apply to user agents used for multiple purposes, such as search engine indexing combined with AI purposes).
5. Intellectual Property
All content on the Site (including, without limitation, texts, images, graphics, logos, source code, and software) is the property of the Brixio group or of its partners and is protected by applicable intellectual property laws. The terms governing intellectual property in respect of the Site are set out in Section 4 of the Legal Notice and are incorporated by reference into these Terms.
Subject to the licence in Section 6 below (in respect of client logos and trademarks displayed on the Site), no rights are granted to you by these Terms other than the limited right to use the Site as set out in Section 4.1 above.
6. Client References and Trademarks
The Site may feature the names, logos, and trademarks of certain Brixio clients as commercial references. Each such reference is displayed under the terms of a non-exclusive licence granted by the relevant client in Brixio's general terms and conditions of sale (CGV/CPV) or in another written agreement entered into between Brixio and that client.
These names, logos, and trademarks remain the exclusive property of their respective owners. Their display on the Site does not imply any endorsement, partnership, or relationship beyond what is expressly stated.
Any client wishing to have its name, logo, or trademark removed from the Site may do so at any time by sending a written request to hello@brixio.io. Brixio will action the removal within a reasonable period from receipt of the request and will not require justification.
7. Third-Party Content and Editorial Opinions
7.1 Third-party data and APIs
The Site may display data, statistics, charts, or other information sourced from third-party providers, including Cloudflare Radar (https://radar.cloudflare.com), a public service operated by Cloudflare, Inc. Such data is the property of its respective providers and is subject to their own terms and licences. Brixio does not generate, validate, or warrant the accuracy, completeness, or timeliness of such data and accepts no liability for any decision made in reliance on it.
7.2 Editorial content and opinions
Articles, analyses, blog posts, country guides, opinion pieces, and similar editorial content published on the Site reflect the views of Brixio (or of the named author) as of the date of publication and are provided for informational purposes only. Such content does not constitute professional, legal, financial, technical, security, or investment advice and should not be relied upon as such.
Brixio recommends seeking specific professional advice tailored to your circumstances before acting on any information published on the Site. Brixio is happy to provide such advice within the scope of a formal engagement, subject to the onboarding and engagement requirements set out in Section 3 above.
7.3 Hyperlinks to third-party sites
The Site may contain hyperlinks to third-party websites or applications. Brixio exercises no control over the content of such third-party properties and accepts no responsibility for their availability, content, or any consequence of their use.
8. Disclaimers, Limitation of Liability, and Indemnification
8.1 Disclaimer
The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Brixio makes no representations or warranties - express, implied, or statutory - regarding the Site, its content, its availability, or its fitness for any particular purpose, and disclaims all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
8.2 Limitation of liability
To the maximum extent permitted by applicable law, Brixio shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages - including, without limitation, loss of profits, loss of data, loss of business opportunity, or damage to reputation - arising out of or relating to your access to or use of the Site, or your inability to access or use the Site, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory.
Nothing in these Terms excludes or limits Brixio's liability for matters which cannot lawfully be excluded or limited under applicable law.
8.3 Indemnification
You agree to defend, indemnify, and hold harmless the Brixio group and its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (i) your use of the Site in breach of these Terms, (ii) your violation of any applicable law or regulation, or (iii) your violation of any third-party right.
9. Governing Law and Jurisdiction
These Terms are governed by the law of the publisher operating in your region of residence, namely:
- French law for users residing in the European Economic Area, the United Kingdom, or Switzerland (publisher: Brixio France SAS);
- the laws of the United Arab Emirates for users residing in the Middle East, the GCC, Saudi Arabia, Africa, or the Americas (publisher: Brixio Technologies LLC);
- the laws of the Republic of Singapore for users residing in the Asia-Pacific region (publisher: Brixio Technologies (Singapore) Pte. Ltd.).
Any dispute relating to the existence, interpretation, validity, performance, or termination of these Terms shall be submitted to the exclusive jurisdiction:
- of the competent courts of Paris, France, where French law applies;
- of the competent courts of Dubai, United Arab Emirates (or, where applicable, of the courts of the Dubai International Financial Centre (DIFC)), where UAE law applies;
- of the competent courts of Singapore, where Singapore law applies.
In all cases, the foregoing is without prejudice to mandatory consumer protection rules applicable in the user's country of residence under applicable law.
10. Modifications and Contact
10.1 Modifications
Brixio reserves the right to modify these Terms at any time. Revised versions will be posted to the Site and will take effect on the date of posting. Continued use of the Site after such posting constitutes acceptance of the revised Terms. The “date of last update” shown at the top of this document indicates the latest version in force.
